Terms & Conditions

Enterprise Terms of Engagement, Platform Licensing, and Website Usage for Business Insights Australia.

Welcome to Business Insights Australia("Business Insights", "we", "our", or "us"). These Terms and Conditions ("Terms") govern your access to and use of our website, digital platforms, proprietary accelerators, Power BI frameworks, Deltek ERP integration solutions, and professional consulting services.

By accessing this website, requesting consultations, licensing our modules, or executing a Statement of Work (SOW) with us, you agree to be bound by these Terms. If you are entering into these Terms on behalf of an enterprise or corporate entity, you represent that you have the authority to legally bind that entity.

1. Scope of Services & Statements of Work (SOW)

Business Insights delivers bespoke data engineering, Microsoft Power BI report design, Power Platform process automation, Deltek Vision and Vantagepoint customization, and enterprise AI accelerators (including AI-InsightX).

Professional consulting services are executed under mutually executed Statements of Work (SOW) or Service Level Agreements (SLAs), which define specific project scopes, timelines, milestone deliverables, licensing tiers, and commercial compensation terms. In the event of any conflict between these Terms and an executed SOW, the terms of the specific SOW will take precedence.

2. Intellectual Property Rights

All pre-existing intellectual property, proprietary tools, pre-built Power BI report templates, Deltek API modules, AI agent architectures, documentation, code libraries, and visual website assets remain the exclusive property of Business Insights Australia or its licensors.

Upon receipt of full payment for bespoke deliverables specified under an SOW, the client is granted a perpetual, non-exclusive, non-transferable license to use the developed reports, dashboards, and custom configurations for internal enterprise operations, unless explicitly agreed otherwise in writing.

3. Client Responsibilities & Data Access

To enable our team to provide consulting, integration, or support services, you agree to:

  • Provide timely access to relevant data sources, ERP environments, Microsoft 365 tenants, and technical stakeholders;
  • Ensure that all data provided to Business Insights complies with Australian privacy regulations (including the Privacy Act 1988) and does not violate third-party rights;
  • Maintain adequate operational backups of your primary enterprise databases before migration or integration activities;
  • Review milestone deliverables within agreed review windows to prevent project schedule delays.

4. Third-Party Platforms (Microsoft, Deltek, Azure)

Our solutions integrate with third-party software including Microsoft Power BI, Microsoft Fabric, Azure OpenAI, and Deltek ERP. Your rights and access to these platforms are subject to the independent licensing agreements and terms provided by Microsoft Corporation and Deltek, Inc.

Business Insights Australia is not responsible for downtime, API changes, licensing price adjustments, or feature deprecations enforced by third-party platform providers.

5. Confidentiality & Data Security

Both parties agree to treat all business, financial, technical, and proprietary information disclosed during an engagement as confidential. We implement industry-standard encryption, strict access governance, and Australian data protection practices to safeguard enterprise datasets. Confidential information will not be disclosed to any third party without prior written consent, except where required by Australian law.

6. Website Use & Prohibited Conduct

When accessing our website and public demonstration portals, you agree not to:

  • Attempt to decompile, reverse-engineer, or disassemble any proprietary analytics widgets or demonstration modules;
  • Use automated bots, spiders, or scrapers to extract site content, case studies, or contact databases;
  • Transmit malicious code, viruses, or interfere with network infrastructure and cloud hosting integrity;
  • Misrepresent your identity or company affiliation when requesting consultations or RFPs.

7. Warranties & Australian Consumer Law (ACL)

Our services come with guarantees that cannot be excluded under the Australian Consumer Law (ACL) set out in Schedule 2 of the Competition and Consumer Act 2010 (Cth).

Except as expressly provided in an executed SOW or required by mandatory law, all materials, website resources, and advisory content are provided on an "as is" and "as available" basis without warranty of any kind, whether express, implied, or statutory.

8. Limitation of Liability

To the maximum extent permitted by Australian law, in no event shall Business Insights Australia, its directors, employees, or contractors be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, arising out of or in connection with the use of our services or website.

9. Governing Law & Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of New South Wales (NSW), Australia. The parties irrevocably submit to the exclusive jurisdiction of the courts of New South Wales and the federal courts of Australia.

10. Amendments & Updates

We reserve the right to modify these Terms at any time to reflect operational, technological, or regulatory changes. The updated version will be indicated by an updated effective date at the bottom of this page. Your continued use of our website or services following any updates signifies your acceptance of the revised Terms.
